Terms and Conditions of the "Recommendations Programme"

Section I.

Introductory Provisions

 

§ 1. Definitions

 

Expressions used in these Terms and Conditions (hereinafter referred to as the "Terms and Conditions") have the following meanings:

 

1/ Programme - a promotional Programme organised by the Company under the name "Recommendations Programme”;

2/ Company - intive spółka akcyjna (joint-stock company) with its registered office in Szczecin, postcode: 70-550 Szczecin, pl. Hołdu Pruskiego 9, entered in the Register of Entrepreneurs of the National Court Register maintained by the District Court of Szczecin-Centrum in Szczecin, 13th Commercial Division of the National Court Register under number 0000652746, , NIP (Tax Identification Number): 8513202115, REGON: 366113077;

3/ Recommender - any natural person nominating any individual as a Candidate, except for persons who compose the Company's HR department, persons qualified in the Company's structure as the "management team", persons employed on the position of „Head of verticals”, „Head of service line”, „Head of sales teams” and holding a position of Director of higher and persons making the final decision to employ the Candidate; the person becomes the recommender at the moment of sending the Recommendation to the Company;

4/ Candidate - any natural person proposed to the Company by the Recommender, meeting the requirements set forth by the Company for a position in a given section of the Company for which the recruitment is conducted, however persons belonging to at least one of the following categories are not considered as Candidates:

a/ former and current employees or associates: i) of the Company, ii) of entity directly and indirectly related by capital with the Company, unless the Company has not contacted them for at least eighteen months;

b/ persons involved in Company’s employment-related programmes (such as the Patronage programme);

c/ persons who had been already entered in the Company’s database, including in particular persons who had been presented to the Company as potential employees or associates before being nominated by the Recommender (e.g. had applied by themselves, had been proposed by the Recruitment Agency), unless the Company has not contacted such persons for at least eighteen months;

d/ persons who have not given their consent to the processing of their personal data for the purpose of recruitment;

e/ persons who have less than twelve months of work experience in a position identical or similar to that to which they have been nominated by the Recommender;

5/ Recommendation - a statement of knowledge addressed by the Recommender to the Company through the communication channel specified herein, with the content and form as specified in further provisions hereof;

6/ Form - an interactive form made available by the Company on the website www.intive.com to be used for forwarding Recommendations to the Company.

 

7/ Personal data-personal data in the meaning of the Regulation of the European Parliament and Council / EU/ 2016 / 679 from 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free  movement of such data, and repealing Directive 95/46/EC (EU Official Journal L2016, No 119, p.1)

 

 

Article 2. Subject of the regulation

 

1. The Terms and Conditions define the rules for Recommenders’ participation in the Programme and the rules for compensation the Recommenders, whose recommendations resulted in employment by the Company of Candidates nominated by them.

2. Based on these Terms and Conditions, the Recommenders may send to the Company their Recommendations in which they recommend to the Company Candidates for employees or associates of the Company.

3. The Company shall verify the received Recommendations after they have been sent by the Recommenders. The Company shall in particular reject Recommendations if the recommended candidates do not qualify as Candidates within the meaning of Art. 1(4) of the Terms and Conditions as well as Recommendations in which the Candidate or the Recommender does not agree to the processing of their personal data to the extent necessary for participation in the Programme.

4. When it comes to Candidate’s employment by the Company, the Recommender shall be entitled to financial benefit, provided that the requirements specified herein are complied with and under the rules set out herein. 

 

Article 3. Recommendation of a Candidate

 

1. The Programme may be joined by sending to the Company a Form with the Recommendation containing the following information: 

1/ full name, email address, telephone number of the Recommender;

2/ first name, surname, email address, telephone number, Candidate’s CV;

3/ optionally a position for which the Candidate is recommended.

 

2. In the scope of Personal Data of the Candidate, the submission of Form pursuant to paragraph 1 shall constitute submission by the Recommender of a declaration that:

1/ he/she obtained from the Candidate consent for disclosure before intive Spółka Akcyjna of Personal Data of the Candidate and for the processing by intive Spółka Akcyjna of Personal Data of the Candidate indicated in the Form and the documents attached thereto for the purpose of participation in the “Recommendations Programme”;

2/ The Candidate acknowledged and familiarized as well as understands and accepts entire content of the hereby Terms and Conditions

3/ The Candidate acknowledged, familiarized and understands the content of the Information disclosed to him/her in the scope of processing of Personal Data for the purpose of participation in “Recommendations Programme” realized by intive Spółka Akcyjna-constituting Appendix No. 3 to the hereby Terms and Conditions;

4/ The Candidate expressed his/her consent voluntarily;

5/ Personal Data of the Candidate are correct and valid;

6/ He/she is aware of the fact that he/she bears full responsibility for disclosing Personal Data of the Candidate as well as of the consequences of unauthorized passing of such personal data.

3. In the scope of Personal Data of the Recommender, through the submission of the Form in accordance with paragraph 1, the Recommender declares that:

1/ he/she acknowledges, has familiarized, understood and accepted entirely the content of the hereby Terms and Conditions (“Programme Terms and Conditions of “Recommendations Programme”);

2/ he/she acknowledges, has familiarized, understood the content of the “Information in the scope of processing of Personal Data for the purposes of participation in the “Recommendations’ Programme” realized by intive Spółka Akcyjna (Appendix no 3);

3/ grants consent for the processing by intive Spółka Akcyjna of his/her Personal Data indicated in the Form for the purpose of participation in the “Recommendations’ Programme”;

4/ his/her declarations with regards to granting consent are submitted voluntarily and constitute specific, conscious and clear expressions of will.

4. Withdrawal of consent for the processing of personal data by the Recommender constitutes resignation from further participation in the Programme.

5. Complete list of positions which are currently recruited for by the Company is made available on the website of the Company www.intive.com

6. The Company informs the Recommender about qualification of the given Recommendation to the Programme in the form of an email message within 30 days from the date of obtaining the Recommendation. Within the same term the Company shall inform the Recommender about disqualification of a given submission for the Programme.

7. After granting the information specified in paragraph 6 to the Recommender the Company shall contact the Candidate at its own discretion.

 

 

Article 4.  Financial benefits for Programme participants

 

1. Subject to paragraph 2, the Recommender shall be entitled to a financial benefit for participation in the Programme if all of the following conditions are met:

1/ the Recommender will have sent the Recommendation meeting the requirements specified in Art. 3(1);

2/ the Recommendation will concern a person who meets the requirements for being considered as a Candidate in accordance with Art. 1(4) on the date of sending the Recommendation;

3/ the Company will hire the Candidate covered by the Recommendation, which should be understood as the conclusion of an employment contract with such person, as well as the commencement of cooperation under a business contract (B2B) or other civil law contract concerning provision of services with him/her;

4/ the Company's co-operation with the Candidate, started on the basis of the contract referred to in paragraph 3 above, will continue for more than three months from the commencement date of the Candidate's employment or service for the Company, provided that the termination notice period for the contract concluded with the Candidate and constituting the basis for his/her work or services does not start before that date or no agreement is concluded in the subject of termination of the hereby agreement or no agreement on termination of such agreement will have been concluded;

 

5/ payment of the financial benefit in respect of participation in the Programme must not entail the need for the Company or the Recommender to obtain any additional permits or other administrative decisions.

2. In the event that the Recommender is not employed in the Company on the basis of a contract of employment, additional conditions for acquiring the right to financial benefits for participation in the Programme (except for the conditions specified in paragraph 1) are the following:

1/ providing the Company with Recommender’s personal data required for the performance by the Company of obligations under the tax law and social insurance law by filling in a personal data sheet in accordance with the template attached hereto as Appendix 1, unless the Company has received such data from another source, and

2/ conclusion by the Recommender with the Company of a contract in accordance with the template attached hereto as Appendix 2.

In the documents referred to in paragraphs 1 and 2 above the Recommender shall be designated as the Contractor and the Company as the Principal.

3. The Candidate shall be deemed to have been employed or engaged under a contract on provision of services as a result of the Recommendation related thereto when the Company has concluded a relevant contract with him/her within 6 (six) months of the date of submission of the Recommendation. When it comes to Candidate’s employment or engagement under a contract on provision of services after the 6 (six) month period referred to in the preceding sentence, the Recommender shall not be entitled to any financial benefit under these Terms and Conditions. The financial benefits shall not be also paid if the Candidate or the Recommender withdraw their consent to the processing of their personal data as referred to in Art. 3(3) hereof, if the contract between the Company and the Candidate is concluded after submission of a statement of withdrawal of such consent.

4. In cases where a person has been nominated as a Candidate by two or more Recommenders, the benefit is due only to the Recommender who has been the first to submit the Recommendation.

5. The basic amount of the benefit due to the Recommender depends on the level of the position on which the nominated Candidate has been employed, regardless of the level of the position for which the Recommendation had been submitted. The level of the position is determined in accordance with the positions hierarchy adopted in the Company. At the Recommender’s request, the Recruitment Department of the Company shall provide him/her with information about the level of the position offered to the Candidate. Dependence of the amount of financial benefit due to the Recommender on the level of the position offered to the Candidate is presented in the following table:

6. The provisions of paragraph 5 are applied accordingly where the Candidate is to be employed on the basis of a commercial contract or other civil law contract.

7. The financial benefit shall be paid to the Recommender who is eligible in accordance with the provisions of this Article within 30 (thirty) days of the fulfilment of the condition set forth in paragraph 1(4) of this Article.

8. In particularly justified cases, the amount of the financial benefit indicated in the table in paragraph 5 may be changed upon the joint consent expressed by persons acting as SVP HR and SVP of the department to which the person concerned is to be recruited.

 

Article 5. Final provisions

 

1. The provisions of the Labour Code, the Civil Code and other provisions of the generally applicable law of the Republic of Poland shall apply to matters not governed by these Terms and Conditions.

2. These Terms and Conditions shall come into force on 14.05.2018 and shall be published by posting on the Company's website www.intive.com and in the Company's internal IT system.

3. Any changes to these Terms and Conditions, as well as their repeal, shall require a written statement of the Company to be communicated in the same manner as these Terms and Conditions (paragraph 2) and shall enter into force within the time limit set forth in this statement, in the manner specified in paragraph 2.

4. The Company may terminate the Programme at any time. Programme termination by means of the statement subject to communication under paragraph 2, shall take place within the time specified in the statement, not earlier than the date of communication. Unless otherwise stated by the Company, the repeal of these Terms and Conditions in their entirety shall constitute the termination of the Programme.

5. Recommendations submitted to the Company prior to the date of amendment or repeal of the Terms and Conditions or prior to the termination of the Programme shall be subject to examination under the hitherto conditions.

Appendix 2 to the Terms and Conditions of the "Recommendations Programme”

Article 1 Subject of the Contract

 

1. Under the Contract, the Contractor agreed to provide marketing services consisting in particular in promoting a positive image of the Principal as the employer in the IT industry and encouraging third parties to apply for vacant positions in the Principal’s enterprise or to start cooperation with the Principal under the commercial contract (hereinafter: the Services).

 

2. The Services shall be deemed performed if a third party encouraged by the Contractor to apply for a position in the Principal’s enterprise (hereinafter referred to as the Candidate) concludes a contract of employment with the Principal within the meaning of Art. 25(1)-(2) of the Labour Code or starts cooperation with the Principal based on the commercial contract (B2B) or other civil law contract.

 

Article 2 Terms of Service

 

When performing the Services, the Contractor was bound by the Principal’s guidelines contained in the Terms and Conditions of the "Recommendations Programme” (hereinafter referred to as the Terms and Conditions).

 

Article 3 Remuneration

 

1. For the performance of the Services, the Principal shall pay the Contractor a commission fee depending on the number of Candidates who will conclude a contract with the Principal in accordance with Art. 1 (2), in the amount of PLN  _________ (____________) gross for each Candidate. Detailed terms and conditions of calculating the remuneration are set out in the Terms and Conditions.

 

2. If the co-operation of the Principal with the Candidate, started on the basis of the contract referred to in Art. 1(2), is not continued after the expiry of three months from the date on which the Candidate started to perform work or services, or if the termination notice period for the contract concluded with the Candidate and constituting the basis for his/her work or services starts before that date, the remuneration specified in paragraph 1(2) shall not be paid, irrespective of the reason for not concluding the contract or discontinuing further cooperation.

 

3. Subject to paragraph 4, the amount of remuneration specified in paragraph 1 shall be payable within 30 days of the fulfilment of the condition specified in Art. 4(1) (4) of the Terms and Conditions, by bank transfer to the bank account of the Contractor: ____________________________________.

4. The remuneration specified in paragraph 1 shall be paid on the basis of a bill properly issued by the Contractor, after its delivery to the Principal. The Contractor shall issue and deliver the bill for the remuneration specified in paragraph 1 upon signing this Contract. An obligation to issue and deliver the bill is imposed on the Contractor, but, upon the request of the Contractor, the Principal will assist him/her in drawing up the bill, in particular as regards the correct calculation of amounts of public levies. In the case specified in the preceding sentence, the Principal shall provide the Contractor with assistance within __ working days of the date of the request. The Principal has the right to refrain from paying the remuneration until the correct bill has been served. A template of the bill is attached as appendix 1 to the Contract.

 

5. The remuneration payable to the Contractor under this Article exhausts the Contractor's claims for the performance of the Contract, in particular the Contractor shall not be entitled to remuneration in the event the Principal concludes any further contract with the Candidate.

 

6. The Contract shall be deemed completed on the date of payment of the Remuneration. The payment day is deemed to be the day when the bank account of the Principal has been charged.

 

Article 4 Public levies

 

The Principal shall withhold from the remuneration referred to in Article 3(1) and transfer to the competent Tax Office the Contractor’s advances on personal income tax as well as the social insurance and health insurance contributions, if the obligation to withhold them results from the applicable law.

 

Article 5 Final provisions

 

1. The Contract shall be terminated on the day of its completion.

 

2. The Parties agree and confirm by signing the Contract that the Contract does not create any legal or factual dependence between them which does not directly derive from its provisions.

 

3. In matters not covered by this Contract, the provisions of the Civil Code and the Terms and Conditions shall apply. The Contractor declares that prior to the conclusion of this Contract, the Principal has served on him the Terms and Conditions and that he has read them and accepts their contents.

 

4. Any disputes arising out of the performance of this Contract shall be submitted to the general court of competent jurisdiction over the Principal's registered office.

 

5. Any changes or additions to the Contract, its termination, withdrawal therefrom or its termination by mutual agreement of the Parties may only be made in writing to be valid.

 

6. This Contract has been drawn up in two equal copies, one for each of the Parties.

Appendix 3 to „Recommendations Programme” Terms and Conditions

 

 

The information on the scope of Personal Data processing for the purposes of “Recommendations Programme” realized by Intive Spółka Akcyjna

 

 

  1. The Administrator of the Personal Data contained in the submitted documents is intive Spółka Akcyjna, having its registered seat in Szczecin, pl. Hołdu Pruskiego 9, 70-550 Szczecin.
  2. The Administrator processes Personal Data according to the European Parliament and Council Regulation (EU) 2016/678 of 27 April 2016 on protection of individuals with regard to the processing of personal data and on the free movement of such data  and repealing Directive 95/46/EC (General Regulation on Data Protection), hereinafter referred as GRDP and other legislation in this scope.
  3. The Administrator has appointed the Inspector of Personal Data, whom one may contact in the events related to Personal Data processing via e-mail: dpo@intive.com
  4. The agreements on Personal Data processing shall be performed under:
    1. The consent for Personal Data processing (under the Article 6, section 1, letter a) GRDP) for the purposes of participating in “Recommendations Programme”;
    2. Legitimate Administrator’s interest (under the Article 6, section 1, letter f) GRDP) for the purposes of determining, proceeding or protecting against legal claims.
  5. The person, whose Personal Data are processed by the Administrator has the right to withdraw the consent at any time without any influence on the compliance with the processing rights, which have been performed under the consent before its withdrawal. The withdrawal of the consent may be executed by sending the information via e-mail to the address: odwolaniezgody@intive.com.
  6. The Personal Data shall be processed:
    1. In the event of the consent for participation in “Recommendations Programme” by the period of time necessary for the execution of laws and duties related to the participation in “Recommendations programme”.
    2. In the event of legitimate Administrator’s interest, for the purposes of determining, proceeding or protecting against legal claims, within the period of 5 years [AC1] [MZ2] [JK3] from the end the periods specified in letter a;
  7. The person whose Personal Data are processed by the Administrator has the right to access the content of his/her Personal Data, the right to correct them, to delete them and the right to limit processing them, the right to oppose against its processing and the right to transfer them.
  8. The person whose Personal Data are processed by the Administrator has the right to submit a complaint to The President Of The Office for Personal Data Protection in case he or she considers the processing of his/her data as infringing the GRDP regulations.
  9. Personal Data processed by the Administrator shall not be subjected to automatized decision making, including profiling.
  10. Submitting personal data is not obligatory, nor is it the result of legislature, however, its denial or lack of consent for processing by the Administrator shall mean the impossibility to participate in “Recommendations Programme”.
  11. The Recipients of data can inclusively be:
    1. Entities eligible under legislation;
    2. Entities authorized under the Agreement concluded by intive Spółka Akcyjna, particularly the entities from the same capital group, Administrator's customers or entities that provide services for the Administrator. The entities eligible under Agreements concluded by intive Spółka Akcyjna may come from the country and from abroad, also from the United States, North America (The European Commission has not found the appropriate level of data protection to this, therefore regular Data protection clauses were applied) and the Republic of Argentina (The European Commission has found the appropriate degree of Personal Data protection to this country).
